Agreement

These Terms of Use govern your access to the Velocent website and any engagement you enter into with Velocent. By using this site or engaging our services, you agree to these terms. If you do not agree, please do not use the site.

Our services

Velocent provides senior, AI-native software engineering through embedded retainers, fixed-scope ship sprints, on-demand capacity, enablement, and related advisory work. The scope, deliverables, and fees of any engagement are set out in a separate proposal or statement of work, which prevails over these terms in case of conflict.

Fees and payment

Fees are charged according to the engagement model agreed in writing: monthly for retainers, per sprint for fixed-scope work, or per day or hour-pack for on-demand work. Invoices are due on the terms stated in the engagement. Retainers can be adjusted or ended with the agreed notice period.

Intellectual property

Unless agreed otherwise, ownership of work product created specifically for a client transfers to that client on full payment. Velocent retains ownership of its pre-existing materials, general know-how, and reusable tooling, and may use the general skills and experience it gains.

Confidentiality

Each party agrees to protect the other's confidential information and to use it only for the engagement. We are glad to sign a mutual non-disclosure agreement before sensitive information is shared.

Warranties and disclaimer

We perform services with reasonable skill and care, to a professional standard. The website itself is provided on an as-is basis without warranties of any kind, to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Velocent's total liability arising from an engagement is limited to the fees paid for that engagement, and Velocent is not liable for indirect or consequential losses.

Term and termination

Engagements run for the term agreed in writing. Retainers are cancellable by either party with the agreed notice, typically 30 days. Terms on confidentiality, intellectual property, and liability survive termination.

Governing law

These terms are governed by the laws of the jurisdiction in which Velocent is established, and disputes are subject to the courts of that jurisdiction, unless an engagement states otherwise.

Changes

We may update these terms from time to time. The version published on this page applies to your current use of the site.
